Terms of Service

1. Agreement to Terms

By engaging the services of Web Wonder Works LLP ("we", "us", or "the Agency"), you ("Client") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Web Wonder Works LLP (LLPIN: ACI-7034), a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, with its principal place of business at Ground Floor, Annamalai Industrial Park, SF No: 277/1A, Kalapatti Main Rd, Sharp Nagar, Nehru Nagar West, Coimbatore, Tamil Nadu - 641048.

These terms apply to all services provided by the Agency, including but not limited to digital marketing, search engine optimisation, paid advertising management, website design and development, social media management, and content creation.

2. Services

The specific scope, deliverables, timelines, and fees for services will be outlined in a separate Service Agreement or Statement of Work (SOW) provided to the Client prior to engagement. In the event of conflict between these Terms and the SOW, the SOW shall prevail for that specific engagement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to the Client. We will use commercially reasonable efforts to deliver services as described but make no guarantee of specific outcomes including search rankings, traffic volumes, or lead generation numbers.

3. Payment Terms

Fees are as agreed in the SOW or invoice. Unless otherwise stated:

• Monthly retainer fees are payable in advance on the 1st of each month.
• Project fees may require a 50% advance with the balance due upon completion.
• All fees are exclusive of applicable GST (IGST/CGST/SGST) as mandated by law.
• Late payments (beyond 7 days of due date) may attract an interest charge of 2% per month.

Third-party costs (Google Ads budgets, Meta Ads budgets, domain registration, hosting, stock images, etc.) are billed separately and are the Client's direct responsibility unless otherwise agreed.

4. Intellectual Property

Upon receipt of full payment, all final deliverables created specifically for the Client (logos, website designs, written content) become the Client's property. The Agency retains ownership of all proprietary processes, methodologies, templates, frameworks, and pre-existing materials used in delivering the services.

The Client warrants that all materials, data, and information provided to the Agency do not infringe any third-party intellectual property rights. The Client indemnifies the Agency against any claims arising from Client-supplied materials.

5. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. The Agency may reference the Client's name and general nature of work in its portfolio and marketing materials unless the Client requests otherwise in writing.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Agency's total liability for any claim arising from the services shall not exceed the total fees paid by the Client in the 3 months preceding the claim. The Agency shall not be liable for any indirect, incidental, consequential, or punitive damages.

The Agency is not responsible for service disruptions caused by third-party platforms (Google, Meta, etc.), algorithm changes, force majeure events, or actions taken by the Client contrary to our recommendations.

7. Termination

Either party may terminate a retainer engagement with 30 days written notice. Project-based engagements may only be terminated as specified in the SOW. Upon termination, the Client shall pay for all work completed up to the termination date. The Agency will provide a reasonable transition period and handover of materials upon request.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
